A Standardised Data Processing Agreement

What is oneDPA

oneDPA is a widely agreed upon, easy-to-understand document template sponsored by ContractPodAi and PwC and hosted on Claustack, a legal community standardization platform created by TLB. Within Claustack, legal professionals collaborate on the standardization of data processing agreements. This creates a more agile and transparent process, as the wider legal community contributes to oneDPA.

How did the oneDPA come about?

A Data Processing Agreement is required to be put in place whenever personal data is shared between two or more parties. DPAs impact every company that shares data across borders — and are increasingly widespread and complex. But because the content of DPAs is driven by data protection regulation or case law, few commercial points are included in them. This makes these agreements ripe for standardization.

Why use oneDPA?

oneDPA reduces the time and money spent on reviewing and negotiating DPAs — along with contract risk. The standard DPA not only frees up legal teams to pursue value-adding work, but also eliminates the need for external counsel to review and update existing agreements, for compliance and regulatory purposes. And it is absolutely free!

oneDPA committee's view on standardization

“I saw firsthand the oneNDA project’s immense vision, momentum, and execution, and its brilliant use of technology to bring people together to share ideas and solve thorny problems efficiently.”

Darryl Chlang – Google

“Standardisation offers a simpler, less combative approach to data privacy documentation, and should consequently lead to a reduction in the time and money spent over what should be fairly non-contentious work.”

Barry Proudfooot – Diageo

“Standardisation is so important for my organisation in order to allow us to move at the rapid pace we need to. It’s also about trusting what’s in front of you too – taking away that time to verify that baseline means that we can spend our time on things that deliver more value to the business.”

Natalie Salunke – Zilch

Level Up Legal

Standardization

The standardization of legal documents like DPAs helps you create terms that are non-negotiable and execute agreements rather quickly. The process allows contract parties to not only operate from the same standard, but also make contract changes — like adding obligations or requirements — along the way.

Legal design

Modern design thinking helps make legal systems and processes more human-centered, usable, and beneficial. The application of legal design principles to your standardization structures therefore engages and empowers both legal and business users alike.

Digitization and automation

Legal technology provides a shared framework for initiating, collaborating on, and standardizing contracts. Such digitization and automation help you create agreements using approved, structured language, which is fully understood by artificial intelligence and natural language processing (NLP) technology.
